Terms of Service

1. Parties & Agreement

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you") and Ronala Imobiliare SRL, CUI 52133484, J2025050803009, a company incorporated under Romanian law, with registered offices at Intr. Gheorghe Simionescu 19, Ap. B26, 014155 București, Romania ("Freqvault", "we", "us").

By creating an account, starting a free trial, or paying for a subscription, you confirm that you have read, understood, and agree to be bound by these Terms. If you are acting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

These Terms are available in English. For UAE customers, an Arabic summary is available upon request at legal@freqvault.io.

2. The Service

Freqvault provides a software-as-a-service ("SaaS") platform for background music management in commercial venues, including:

• A curated, continuously updated music catalog organized by mood, BPM and energy level;
• Automated scheduling tools to assign moods to time slots across your venue's zones;
• A browser-based zone player accessible on any internet-connected device;
• A certificate PDF per location, from the dashboard, confirming the subscription. Stored certificates can be looked up at /verify/{certificate id};
• A multi-zone administration dashboard and playback analytics.

The Service is designed for background ambient music in commercial premises only. It may not be used for live events, DJ sets, outdoor festivals, radio broadcast, streaming redistribution, or any other use beyond business playback on-premises.

3. Playback

The Service is offered to commercial venues worldwide. Ronala Imobiliare SRL, CUI 52133484, J2025050803009 is established in Bucharest. Dedicated customer support is focused on Romania and the United Arab Emirates. That support focus does not limit where a venue may subscribe.

An active subscription is for business playback of the catalog at your registered location(s), through the Freqvault player, per these Terms.

The certificate records that subscription for a location. It is issued by Freqvault.

The certificate records music played through the Freqvault platform. Music from other sources (another streaming service, personal devices, radio) is outside this subscription.

4. Registered location

Business playback under this subscription is at the registered location(s), through the Freqvault player.

You remain responsible for laws that apply at the physical location where music is played.

5. Subscription, Billing & Cancellation

5.1 Plans

The Venue plan is €25 per location per month, or €275 per location per year (section 5.6). Checkout quantity equals the number of locations. There is no Starter, Pro, or Business tier. Prices exclude applicable VAT. Both billing periods are for the same service.

5.2 Free Trial

New customers receive a 7-day free trial with no credit card required at sign-up. The trial converts to a paid subscription only if you add a payment method and confirm. When you confirm, you choose monthly or yearly. No charge is made without that confirmation.

5.3 Billing Cycle

A monthly subscription renews monthly on the billing date. A yearly subscription renews annually on the billing date. You will receive an advance email notification before each renewal. Invoices are issued electronically.

5.4 Cancellation & Refunds

You may cancel at any time from the dashboard billing page. Cancellation takes effect at the end of the current paid period — the current month, or the current year if you are on the yearly plan. Access continues until then. We do not offer prorated refunds for partial months or partial years. Mandatory consumer rights under the law that applies to you still stand.

5.5 Price Changes

We will notify you at least 30 days in advance of any price increase. If you do not accept the new price, you may cancel before the new price takes effect.

5.6 Yearly plan

Optional yearly plan: €275 per location per year. Prices exclude applicable VAT, on the same basis as the monthly price. The yearly plan is for business playback at the registered location(s), through the Freqvault player, per these Terms. One certificate per location. The certificate records the FreqVault subscription.

The yearly subscription renews annually on the billing date. FreqVault sends an advance email before each renewal. Invoices are issued electronically.

You may cancel at any time from the dashboard billing page. Cancellation takes effect at the end of the current paid yearly period. Access continues until then. FreqVault does not offer a prorated refund for a partial year. Mandatory consumer rights under the law that applies to you still stand.

FreqVault will notify you at least 30 days before a yearly price increase. If you do not accept the new price, you may cancel before it takes effect.

6. Customer Obligations

• Provide accurate and complete registration information and keep it up to date;
• Ensure your venue's registered address on Freqvault matches the physical location where music is played;
• Not share your player access link with venues or parties that are not on your subscription;
• Not attempt to download, copy, cache or redistribute any music from the Freqvault catalog;
• Not reverse-engineer, decompile or interfere with the platform's technical operation;
• Comply with all applicable laws in your market.

7. Intellectual Property

The catalog is provided for business playback at your registered venue(s), through the Freqvault player, during an active subscription.

The Freqvault platform, logo, brand, software, algorithms and proprietary features are the exclusive property of Ronala Imobiliare SRL, CUI 52133484, J2025050803009. Nothing in these Terms grants you any ownership of Freqvault's intellectual property beyond the business playback described above.

8. Availability & SLA

We target 99.5% monthly uptime for the platform. Scheduled maintenance is announced via email and in-app notification at least 24 hours in advance and is performed during low-traffic windows (03:00–06:00 Bucharest time / 05:00–08:00 Dubai time).

In the event of unplanned outages exceeding 1 hour within a billing month, qualifying customers may request a service credit equal to 1 day of their subscription fee. Credits are applied to the next invoice and do not constitute a right to refund.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Freqvault's total cumulative liability to you arising from or relating to these Terms or the Service shall not exceed the total amount paid by you in the 3 months immediately preceding the event giving rise to the claim.

Freqvault is not liable for: (a) any indirect, incidental, special, consequential or punitive damages; (b) use of music from sources other than the Freqvault platform.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Romanian or UAE law.

10. Governing Law & Dispute Resolution

Romania / EU customers: These Terms are governed by Romanian law. Any dispute that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the courts of Bucharest, Romania. EU consumers retain the right to use alternative dispute resolution mechanisms available in their country of residence under EU Directive 2013/11/EU.

UAE customers: For disputes arising from the provision of services in the UAE, the parties shall first attempt mediation through the Dubai International Arbitration Centre (DIAC). If unresolved within 30 days, disputes shall be referred to the courts of Dubai, UAE.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified by email at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you do not accept changes, you may cancel before they take effect.
